The North County Estate Planning Council - San Diego, welcomes you to our March Meeting where we will continue our Business Exit Planning Series with a presentation led by Robert (Bob) Cochran of Sheppard Mullin, our expert M&A Attorney Guide, and Keith Troutman of Squar Milner, tax CPA and experienced dealmaker, presenting on:

“It’s Not Over ‘Til It’s Over!: How do you Sell your Business and Hang on to the Price?”

  • You’ve sold your business and taken a deep breath and now here comes the Tax Collector with his hand out and, what’s this, the buyer too? How do you sell your business and hang onto the price?
  • We’ve explored getting the business ready for sale, which includes the essentials of pre-taxation income tax and estate planning, transaction readiness, using experienced advisors, and nailing down important economic deal terms in the letter of intent.

  • Today we’ll focus on what a seller should consider in negotiating the sale of his business to minimize or defer taxes, obtaining liquidity at closing, and techniques that will put the seller in the driver’s seat in handling post-closing tax issues, shift taxes to the buyer and reduce the probability of the seller facing and paying expensive indemnification claims after the closing.

Robert Copeland, Partner with Sheppard Mullin (abbreviated):

Bob Copeland is a partner in the Corporate Practice Group in the firm’s San Diego (Del Mar) office.

Areas of Practice:

Bob practices in the area of corporate law with an emphasis on corporate finance, securities, real estate and mergers and acquisitions. He also is ready and able to assist business owners seeking a liquidity solution in locating financing and acquisition sources. He has served as an expert witness in several litigations involving complex business, partnership and tax disputes. He has lectured and written on various subjects related to mergers and acquisitions, real estate and corporate law. Keith L. Troutman is a Partner in Squar Milner’s Tax Department:

Keith joined the firm in January 2003. He has served and consulted with clients that have consolidated tax return, international, multistate, merger and acquisition, S corporation, Limited Liability Company, and individual tax issues. He has advised companies in the manufacturing, biotechnology, software, medical device, financial institution, and distribution industries. He has gained experience in the corporate tax and flow through areas by serving start-up companies as well as middle market private and publicly traded corporations. In addition, Keith has extensive experience in representing taxpayers before the IRS and state agencies in Tax Controversy matters.
